This Agreement, together with the attached Terms and Conditions, will govern the use of The Skyjet Explorer product and benefits by you and your guests. These documents together will serve as the “Master Agreement” between ________________________ (“Client”) and Sentient Jet Charter, LLC, dba Skyjet (“Skyjet”).

SKYJET EXPLORER PROGRAM AGREEMENT
THIS SKYJET EXPLORER PROGRAM AGREEMENT (this “Agreement”) is made and entered into by and between Sentient Jet Charter, LLC, dba Skyjet, a Delaware limited liability company (“Skyjet”), and the Customer whose information is set forth on Schedule A (the “Primary Customer”). Skyjet operates a charter flight brokerage business through which it arranges charter flights on behalf of its clients with operators that retain operational control over the flights (each a “Direct Air Carrier”). This Agreement establishes the terms and conditions upon which the Primary Customer will participate in Skyjet’s Explorer Program (the “Program”). Accordingly, the parties agree as follows:

2.Term and Termination.
(a)Term. This Agreement and the Primary Customer’s participation in the Program begin on the date first set forth above and remain in effect for an initial period of 12 months. Each such

3.Program Benefits. During the Term of the Primary Customer’s participation in the Program, subject to the terms and conditions set forth in this Agreement, the Primary Customer is entitled to receive the following benefits:
(a)Fixed Hourly Rates. During each Term, Authorized Users (as defined below) are entitled to book flights through Skyjet (“Skyjet Flights”) at the hourly rates set forth on Schedule B (the “Fixed Hourly Rates”), provided that Skyjet may update Schedule B with new Fixed Hourly Rates at the beginning of each Term. The Fixed Hourly Rates are payable in connection with incurred “Flight Hours,” which are defined as hours of actual flight time (rounded up to the nearest 1/10th of an hour) plus 12 minutes of aircraft taxi time per leg. The Fixed Hourly Rates for a Term will apply to all Authorized User Skyjet Flights that occur during that Term regardless of when such flights were originally booked. For

(c)Shared Access. By written notice to Skyjet, the Primary Customer may authorize up to four additional individuals to access the Primary Customer’s membership in the Program. Sections 3(a), 3(b) and 3(c) above, except that, without Skyjet’s prior consent, only one itinerary may be scheduled for one jet per one calendar day by all Authorized Users under the Primary Customer’s Program account (in other words, simultaneous use of aircraft by Authorized Users under the same account is not permitted). In the event of a conflict between Authorized User itineraries, the
(d)Miscellaneous Benefits. Skyjet may in its discretion from time to time provide the Primary Customer with additional Program benefits, which may include, without limitation, gift cards, gifts, and discount offers relating to services provided by Skyjet, its strategic partners, or other third parties. These offers may be subject to limited availability or other restrictive terms and conditions that will be described to the Primary Customer at the time of each such offer. For offers provided by the strategic partners, Skyjet will not be responsible for availability, where there are limitations, or any other issues the Primary Customer may have relating to such offers or to the goods or services to be provided in connection with such offers. Skyjet may also provide services from time to time, including without limitation confirming hotel and restaurant reservations and coordinating and tracking ground transportation.
4.Fees and Payment.
(a)Annual Fees. The Primary Customer will pay Skyjet an annual fee of $9,500 for each Term (each an “Annual Fee”). Annual Fees must be paid no later than the first day of the applicable Term and may be paid by credit card, wire transfer or check. Skyjet reserves the right to charge the credit card on file if a wire or check isn’t received by the first day of the applicable Term.
(b)Flight Costs and Miscellaneous Expenses. The cost of Skyjet Flights and any related expenses will be invoiced and billed to the Primary Customer as they are incurred. All applicable taxes and segment charges will be charged to the Primary Customer. The Primary Customer may incur additional charges for flight attendant services and other accommodations that are specifically requested by any Authorized User. Skyjet reserves the right to charge the Primary Customer for damage to any aircraft or excessive aircraft cleaning expenses resulting from the use of the aircraft by any Authorized User.
(c)Payment of Fees and Expenses. Concurrent with the execution of this Agreement, the Primary Customer will complete and deliver to Skyjet a credit card authorization in the form attached to this Agreement as Exhibit A authorizing Skyjet to charge to the Primary Customer’s credit card all amounts for which the Primary Customer is responsible in connection with this Agreement, including without limitation Annual Fees and flight expenses. Annual Fees must be paid as set forth in Section 4(a) above. Flight costs and expenses must be paid as follows: Skyjet will place a credit card hold on the Primary Customer’s credit card when a flight is requested, and shortly after Skyjet receives confirmation of the actual flight times incurred in connection with a completed flight, Skyjet will invoice the Primary Customer and charge the Primary Customer’s, credit card for the flight costs and expenses actually incurred. For
5.Flight Scheduling.
(a)Itinerary Confirmation, Daily Minimums. Itineraries for Skyjet Flights are considered confirmed when (i) an Authorized User completes a reservation with a Skyjet Client Management Consultant or a Charter Sales Director, (ii) Skyjet completes a credit card hold of the estimated flight expenses to secure the flight, and (iii) a flight confirmation document, which may be an email message, is issued by Skyjet to the Authorized User that booked the trip. day and one Flight Hour per leg. Light, Mid,
(b)Required Notice. Itineraries for Skyjet Flights must be scheduled with the amount of advance notice set forth in this Section 5(b). Once an itinerary is confirmed, any changes (including cancellation) requested by an Authorized User will require the same amount of advance notice, except as provided in subsection
(c)below. If an Authorized User changes or cancels a flight without giving the advance notice required by this Section 5(b), Skyjet may assess a fee of up to 100% of the flight’s cost.
(i)Continental US. For travel on days that are not Peak Travel Days (as defined in Section 5(b)(iv) below) (“Standard Travel Days”), that either occurs within the contiguous 48 states of the United States of America (the “Continental US”) or that originates or terminates within the Continental US and does not travel beyond a 200 nautical mile radius of the Continental US, itineraries must be confirmed at least 10 hours prior to the scheduled departure time.
(ii)Bermuda, Caribbean, Mexico. For travel on Standard Travel Days to or from Bermuda, the Caribbean or Mexico (as defined in Section II of Schedule B) beyond the 200 nautical mile radius described above, itineraries must be confirmed at least 72 hours prior to the scheduled departure time.
(iii)
(iv)Peak Travel Days. Itineraries for travel within Skyjet’s defined service area occurring on any Peak Travel Day must be confirmed at least 120 hours prior to the scheduled departure time. “Peak Travel Days” are designated by Skyjet at the beginning of each calendar year. A list of Peak Travel Days in effect as of the date of this Agreement is set forth on Schedule C, and Skyjet will post an updated list of Peak Travel Days at the beginning of each calendar year at
(c)Permitted Departure Changes.
(i)By an Authorized User. To accommodate delays in a Flyer’s schedule, Skyjet will arrange for the Direct Air Carrier to hold aircraft for confirmed flights up to 60 minutes past the scheduled departure time. Upon the expiration of the 60 minute waiting period, the aircraft may depart and the Authorized User will remain obligated for the full cost of the itinerary as if it had been completed.
(ii)By Skyjet. Skyjet may delay or accelerate requested departure times on Peak Travel Days by up to three hours per departure, and any such delay or acceleration will not constitute a violation of Skyjet’s obligations under this Agreement.
6.Flight Accommodations.
(a)Flight Attendants. Flight attendants are not guaranteed on Light, Mid and
(b)Catering/Allergies. Skyjet’s standard catering package is included on all Skyjet Flights at no additional charge, and Skyjet’s premium catering package is available on all Skyjet Flights for an additional fee, subject to aircraft configuration and geographic availability. Authorized Users must inform a Skyjet Client Management Consultant or Charter Sales Director of all relevant passenger allergies, medical restrictions and special dietary needs at the time of booking. (c)Pets. Pets are allowed and welcome on Skyjet Explorer flights. The Authorized User is required to notify Skyjet of any pets, their breed and estimated weight that may be traveling with them at the time of booking. For both the passenger and pet’s safety, Skyjet recommends keeping pets in a carrier, secured to a seat, for the duration of the flight. Pets not in a carrier must occupy their own seat and be secured with a seat belt or special harness during taxi, takeoff, and landing. The number of pets and size/weight of the pets allowed in the cabin is determined by the seating capacity of the aircraft and number of passengers onboard. A passenger must accompany each pet as well as have an accessible empty seat for taxi, takeoff and landing. Should an Authorized User fail to notify Skyjet in advance of any pets traveling with them, Skyjet reserves the right to
(d)Luggage. Authorized Users must notify Skyjet of all luggage needs when an itinerary is requested. If an itinerary is booked with more luggage than can fit on the aircraft, Skyjet will arrange an alternative means of transporting luggage at the Authorized User’s expense.
(e)No Smoking. Smoking is prohibited on all Skyjet Flights.

8.Identification and Travel Documentation. All passengers on Skyjet Flights are required to have specific identification and/or documentation when traveling on Skyjet Flights as described on Schedule D. Skyjet reserves the right to refuse a flight if any passenger does not have the required documentation or identification.
9.Appointment as Agent. The Primary Customer appoints Skyjet as the Primary Customer’s authorized agent to arrange for air transportation services on behalf of the Primary Customer and each other Authorized User. In this capacity, Skyjet will be the authorized agent of the Primary Customer and will not be acting (nor may it be deemed to be acting) as a Direct Air Carrier. As the Primary Customer’s authorized agent, Skyjet will arrange for Authorized Users to contract for transportation services with a Direct Air Carrier, and the applicable Authorized User will be the charterer and beneficiary of such services.
10.Operational Control. The Program is a program of Skyjet. Skyjet arranges flights on behalf of Program participants with Direct Air Carriers that exercise full operational control of charter flights at all times. Skyjet Flights will be operated by Direct Air Carriers that have been certified by Skyjet to provide services for Program participants and that meet all applicable safety standards established by the FAA and Skyjet.

12.Limitation of Liability; Force Majeure. Except to the extent covered by Skyjet’s

Skyjet represents that it is a limited liability company organized under the laws of the State of Delaware and that it has the limited liability company power to enter into this Agreement. Skyjet makes no other representations or warranties of any kind as to any matter arising out of this Agreement or the services provided by it or by the Direct Air Carrier pursuant to this Agreement and disclaims all other warranties.
14.Reselling Prohibited. Authorized Users may not (i) assign or resell any services provided or procured by Skyjet (except as provided with respect to the designation of other Authorized Users), (ii) act as an agent on behalf of Skyjet, or (iii) use Skyjet’s trademarks, service marks, logos or other marketing materials in any way without Skyjet’s prior written consent.
15.Electronic Signatures. The Primary Customer and Skyjet agree that (a) the electronic receipt of information that the recipient reasonably believes to be authorized by the transmitting party (including without limitation a transmission from an authorized email address) will constitute the valid signature on behalf of the transmitting party, (b) such electronic transmissions will be deemed to satisfy any federal, state or local laws or regulations requiring that agreements be in writing, and (c) neither party will contest the validity or enforceability of any such electronic transmission as its valid signature.
16.Privacy. Skyjet takes all appropriate measures to maintain the privacy of all personal information regarding Authorized Users and all other passengers on Skyjet Flights. Skyjet does not disclose any such information to third parties except (a) as set forth in this Section 15 or as otherwise required for the performance of its obligations under this Agreement, and (b) if and as required by subpoena or other legal requirement in connection with a legal proceeding or investigation. All Skyjet Flights will be flown pursuant to FAA regulations that require that the name of each person on the flight be disclosed to the Direct Air Carrier. Skyjet may be required to disclose information such as passenger names, dates of birth and passport information for security purposes. It may also be necessary for Skyjet to provide the names of passengers to third parties providing services in connection with the flight. Finally, Skyjet may use Authorized User information to check the credit of the Authorized User and in connection with its invoice collection efforts.
17.Terms Subject to Change. All terms and conditions of this Agreement other than
4above in this Agreement) are subject to change by Skyjet in its sole discretion upon 30 days’ notice to the Primary Customer. Skyjet will email the Primary Customer to alert them of any such changes. For Intra- Europe flights only, pricing can change within 30 days’ notice.
18.Dispute Resolution. This Agreement is governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any conflict of law principles. Any dispute arising under this Agreement will be finally settled by binding arbitration before one arbitrator in Boston, Massachusetts in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Judgment on any award may be entered in any court of competent jurisdiction. Skyjet will be entitled to recover from the Primary Customer all costs (including without limitation attorney fees) arising in connection with Skyjet’s efforts to collect any amounts payable by the Primary Customer under this Agreement.

19.Miscellaneous. Program services are only available to Authorized Users. Skyjet does not engage in the formation of groups for transportation or in connection with “Public Charters” as defined in 14 C.F.R.
380.If any provision of this Agreement is declared by an arbitrator or a court of competent jurisdiction to be unenforceable for any reason, that provision will be deemed limited to the minimum extent necessary so that this Agreement otherwise remains in full effect. This Agreement, together with its exhibits and schedules, constitutes the entire agreement between the parties concerning its subject matter and supersedes any prior or contemporaneous agreements, understandings or proposals. Paragraph headings are for convenience of reference only. Each party’s rights and obligations under this Agreement may be waived only by an instrument in writing signed by an authorized representative of such party. No waiver by any party of any breach or default of the other party under this Agreement will be effective as to any other breach or default. If any amount due from the Primary Customer to Skyjet pursuant to this Agreement remains unpaid for more than five days beyond the applicable payment date, such amount will accrue interest at the lesser of 1.5% per month or the maximum amount of interest permitted by law, from the date such payment was due until paid. In the event that any form of payment provided by the Primary Customer to Skyjet is rejected and Skyjet incurs any fees as a result of such rejection, the Primary Customer will reimburse Skyjet promptly for all such fees.

REQUIRED TRAVEL DOCUMENTATION
Identification – United States
For passengers who are older than 18 and flying domestically, all Direct Air Carriers are required by the Aviation and Transportation Security Act (ATSA) to use
∙One form of photo identification issued by a local, state or federal government agency (e.g., a passport, driver’s license or military ID)
∙When traveling domestically with a minor, he/she is not required to have photo identification

Identification – International
When traveling internationally, all passengers – including children and babies – are required to have a valid passport. Some countries, including the United States, may require visas or further documentation depending upon specific laws and the passenger’s nationality/country of residence.
Minors Traveling Internationally
Minors traveling internationally without both custodial parents will require a signed and notarized letter authorizing the travel of the minor from the absent custodial parent(s). The written authorization should expressly state the flight itinerary and the absentee custodial parent’s signature should expressly permit the minor child/children to fly to the applicable destination for the applicable time period. For purposes of international travel, minors are defined as those under the age of 18 years old on the date of the flight and the above requirement applies regardless of the passenger’s nationality and the countries visited. In cases of sole custody, legal proof of sole guardianship is required. Skyjet reserves the right to refuse to complete a trip without proper documentation.
For travel outside of the United States that includes a child traveling alone, with only one parent or with someone other than his or her parents, Skyjet requires that all Authorized Users have the following documentation available, regardless of citizenship:
∙A notarized authorization from the absent custodial parent(s) or legal guardian(s)
∙A child’s passport
∙Contact names and phone number for each parent not traveling with a child for that particular travel day
∙Written documentation showing chain of custody and photo identification for the adult picking up a child at the destination

EXHIBIT A
SKYJET EXPLORER PROGRAM CREDIT CARD AUTHORIZATION
(the “Primary Customer”) is providing Sentient Jet Charter, LLC, dba Skyjet (“Skyjet”) with the information set forth below regarding a credit card (the “Credit Card”) issued in the Primary Customer’s name in connection with that certain Explorer Program Agreement entered into between the Primary Customer and Skyjet concurrently with this authorization (the “Program Agreement”). The Primary Customer hereby:
(i)authorizes Skyjet to charge to the Credit Card all amounts payable by the Primary Customer to Skyjet pursuant to the Program Agreement, including without limitation all Annual Fees and flight expenses; and
(ii)represents and warrants to Skyjet that, for as long as the Program Agreement remains in effect, the credit capacity of the Credit Card will remain sufficient to cover payment when due of all amounts payable by the Primary Customer to Skyjet pursuant to the Program Agreement.
